LEGAL INFORMATION

The " Shiftech.eu " website is published by :

GENERAL TERMS AND CONDITIONS OF USE

The purpose of these general conditions of use (hereinafter "GCU") is to define the terms and conditions of use of the "Shiftech.eu" site.

Access to and use of the Site implies unreserved acceptance of the GCU by the User.

1 - DEFINITIONS

For the purposes hereof :

"Site" refers to the "Shiftech.eu" site, published by ST INTERNATIONAL, providing access to the Elements. The Site includes the Content, the tools, the databases, the documentation and all other elements that make it up, updates and new versions that may be made to the Site by ST INTERNATIONAL.

"Franchisee" refers to the member of the Shiftech commercial network who is available to Users to provide them with any additional information they may require concerning each of the products and services presented on the Site. The Franchisee, an independent trader, remains responsible for information of any nature that they may include on the site.

"Content" refers to, but is not limited to, the structure of the Site, editorial content, drawings, illustrations, images, photographs, graphic charters, brands, logos, acronyms, social desocial nominations, audiovisual works, multimedia works, visual content, audio and sound content, as well as any other content present on the Site.

"Elements" refers to the various functionalities and information elements offered on the Site.

"User" means an individual of legal age browsing the Site for his or her own needs, for strictly personal and non-commercial use, with no direct or indirect profit motive, whether or not he or she owns a Vehicle.

"Vehicle" refers to any vehicle

2 - PURPOSE OF THE SITE

The purpose of the Site is to enable the User to :

Discover the SHIFTECH brand,

Find out more about the SHIFTECH brand and its associated products and services,

Discover personalised promotional offers,

Configure a Vehicle online,

Request an estimate,

Locate a SHIFTECH Franchisee

Make an online reservation based on current promotional offers,

Interact directly with the SHIFTECH brand to ask questions and/or contact the customer relations department,

Participate in any sales events or competitions,

This list is non-exhaustive and may be modified at any time by ST INTERNATIONAL without its liability being incurred in this respect.

It is understood that ST INTERNATIONAL reserves the right to modify, at any time and without prior notice, the information appearing on the Website, particularly that relating to the technical characteristics and equipment of the models presented.

3 - ACCESS TO THE SITE

The Site can be accessed via the Internet at the following address: https: //www.Shiftech.eu

Only access to certain Elements of the Site requires the creation of an account by the User, under the terms and conditions provided at the time of the creation of said account.

4 - LICENCE TO USE THE SITE

ST INTERNATIONAL grants the User a personal right to use the Website, the Content and its Elements, which is non-exclusive, revocable, non-assignable, non-transferable and free of charge.

This licence is granted to the User solely for his own needs, to the exclusion of any commercial or profit-making use of all or part of the Content and/or Elements.

The User acquires no other rights to the Site, the Content and/or the Elements other than those granted herein.

5 - OBLIGATIONS OF THE USER

The User undertakes to use the Site in accordance with national and international regulations.

In particular, the User undertakes to:

to familiarise themselves with these GCU and to comply with them,

not to reproduce, even temporarily and/or partially, the Site and/or its Content, by any means and in any form,

not to access and/or use the software components of the Site,

not to use any software or process intended to copy the Content and/or likely to disrupt the proper functioning of the Site,

not to adapt, modify, translate, transcribe, compile, decompile, assemble or disassemble all or part of the Site, the elements and/or the Content,

not to export the Website and/or merge it with other computer programmes,

to inform ST INTERNATIONAL if he/she becomes aware of an act of piracy and/or illicit or non-contractual use of the Website and/or its Content,

not to carry out any manipulation and/or introduce any virus or malicious code likely to cause computer and/or functional breakdowns likely to affect the correct operation of the Website or any elements accessible via the Website.

hinder the proper operation of the Site by any means whatsoever,

not to use the Site to display, download or transmit any content contrary to public decency or order (such as, but not limited to, any content of a racial, political, religious, pornographic or sexual nature)


As the User is solely responsible for the use of the Site, he/she acknowledges that neither ST INTERNATIONAL nor the members of its distribution network may be held liable for direct or indirect damage, and in particular material loss, immaterial loss, loss of profit or loss of property.the User is solely responsible for the use of the Website and acknowledges that neither ST INTERNATIONAL nor any member of its distribution network may be held liable for any direct or indirect damage, and in particular material damage, immaterial damage, loss of data or programmes, financial damage, resulting from access to or use of the Website, or due, in particular, to the interruption, suspension or modification of the Website or any of its Elements.

Furthermore, when Users document forms online, they undertake to ensure that the content of their comments :

relates to the purpose of the form they are filling in,

is not such as to distort the spirit of the survey by containing (i) philosophical, political, religious or trade union opinions or (ii) elements of a racial, ethnic or sexual nature which of a racial, ethnic or sexual nature that is violent, vulgar, obscene, abusive, contrary to public decency, proselytising, defamatory or hateful,

does not harm the brand image or, more generally, the interests of Groupe ST international.

In the event of a breach of any of the aforementioned restrictions, ST international reserves the right, at its own discretion and without prior notice, to suspend the processing of the request and to draw all legal consequences therefrom.


6 - AVAILABILITY OF THE SITE

ST INTERNATIONAL undertakes to make its best efforts to ensure secure access, consultation and use of the Website.

The Website is accessible continuously, except in the event of force majeure or the occurrence of an event beyond the control of ST INTERNATIONAL, and subject to any breakdowns and maintenance operations necessary for the proper functioning of the Website.

7 - LIABILITY - GUARANTEE

7.1 Use of the Website

Within the limits of applicable laws and regulations, neither ST INTERNATIONAL nor the Franchisees of its commercial network assume any responsibility for the use of the Website by the User and give no guarantee, explicit or implicit, concerning the speed or performance of the Website. In particular, access to the Site may be temporarily and periodically suspended for technical reasons; where this is the case, the technical teams will do their best to resolve the problem as quickly as possible.

ST INTERNATIONAL reserves the right to modify, at any time and without notice, the information appearing on the Website, and ST INTERNATIONAL and/or the members of its distribution network and/or its subsidiaries may not be held liable in this respect.

Access to and use of the Website is at the User's own risk. It is the User's responsibility to take all appropriate measures to protect his/her own data and/or software stored on his/her telephone and computer equipment against any attack.

In any event, ST INTERNATIONAL shall not be held liable :
- in the event of non-compliance by the User with these GCU ;
- in the event of malfunction of the Site due to a cause, whether voluntary or involuntary, which is attributable to the User or to a third party or to an act of malice, software, the smartphone/tablet, an interface or any other product or supply of the User;
- in the event of malfunction and/or failure of the User's computer and/or communications network, whatever the cause

ST INTERNATIONAL does not guarantee that the Website is free from any error or anomaly, nor that it may be subject to attacks, in particular by viruses, which may lead to malfunctions, interruptions, breakdowns or losses of data or information.

7.2 Information on products and services

The characteristics of the vehicles on the Website are those existing at the time they are put on line on the Website. They are given for information only and cannot be considered as a contractual offer of products from ST INTERNATIONAL, its subsidiaries or the members of its network.

The same applies to prices, which are taken from the current SHIFTECH price list but which are only recommended maximum prices and have no contractual value.

7.3 Information relating to financing

Examples of financing offers, with or without optional insurance, may be proposed to the User.

They have no contractual value and therefore ST INTERNATIONAL and/or the members of its distribution network and/or its subsidiaries cannot be held liable for them.



8 - PERSONAL DATA

As part of the use of this website, your personal data is processed under the conditions detailed in ST international's personal data protection policy, which can be accessed here

9 - INTELLECTUAL AND INDUSTRIAL PROPERTY

The Website and its Content are protected by intellectual and/or industrial property rights.

The photographs, texts, slogans, drawings, images, animated sequences with or without sound, as well as all works integrated into the Website are the property of ST INTERNATIONAL or third parties who have transferred their rights to ST INTERNATIONAL or authorised ST INTERNATIONAL to use them.

The names SHIFTECH, the services in the SHIFTECH range and the products and services associated with them, the slogans and logos accompanying these trademarks are, unless otherwise indicated, trademarks registered by ST INTERNATIONAL or other companies in the ST INTERNATIONAL Group.


Other trademarks which are also mentioned are used by ST INTERNATIONAL either with the authorisation of their owner, or simply as an indication of products or services offered by ST INTERNATIONAL.


Reproductions of the Content on a paper or computer medium are authorised, provided that they are strictly reserved for personal use excluding any use for advertising and/or commercial and/or information purposes and that they comply with the provisions of article L122-5 of the French Intellectual Property Code.


With the exception of the above provision, the reproduction, imitation, use or affixing, by any process whatsoever and on any medium whatsoever, of all or part of the Content without having obtained the prior authorisation of ST INTERNATIONAL or the holder(s) of the relevant rights constitutes an infringement punishable by four years imprisonment and a fine of 400.000 fine.

10 - APPLICABLE LAW

The Site and these GCU are subject to French law.

Any dispute that may arise concerning the interpretation and/or performance of these GCU must be settled out of court.

Failing amicable settlement, the dispute will be referred to the courts within the jurisdiction of the Tours Court of Appeal, to which the parties assign exclusive jurisdiction, notwithstanding multiple defendants or claims for compensation from third parties.

11 - UPDATING OF THE GGU

ST INTERNATIONAL reserves the right to modify and update these GCU without prior notice, at any time and without informing Users in advance.

Where applicable, modifications and updates will be binding on the User as soon as they are published on the Website, and it is the User's responsibility to consult the current GCU each time they connect to the Website.

12 - MISCELLANEOUS PROVISIONS

12.1 No waiver

The fact that one of the parties does not take advantage of a clause in these GCU shall not be interpreted as a temporary or definitive waiver of the benefit of the provision in question, which shall remain in force.

12.2. Nullity of a clause

If one or more of the stipulations of these GCU is declared invalid, null or unwritten as a result of the regulations in force, a change in the law or a final decision by a competent court, the other stipulations will remain in force.jurisdiction, the other stipulations will retain all their force and scope, with the parties undertaking as soon as possible to put in place a valid replacement provision with an equivalent scope that is as close as possible to the spirit of these GCU.

12.3 Force Majeure

The following are expressly considered to be cases of force majeure, in addition to those usually accepted by the jurisprudence of French courts: bad weather, governmental and legal restrictions and modifications, breakdowns in the supply of electricity, etc.sT INTERNATIONAL's servers and any other event beyond ST INTERNATIONAL's express control.
